General terms and conditions of use and sale for the bundle comprising Stator-CRM, Rotor-FSM, Vector-MOM and Flux-Link — in force as of 19/08/2026, version 1.0.
1. Purpose
These general terms and conditions (the “Terms of Use and Sale”, in French “CGU/CGV”) govern subscription to the full Indusiax Suite — the bundle comprising the four software products Stator-CRM, Rotor-FSM, Vector-MOM and Flux-Link — offered by Grégory DURAND — ECOM-INDUSTRIE (the “Publisher”) to its business customers (the “Customer”). Any subscription to the Suite constitutes full and unreserved acceptance of these Terms of Use and Sale.
2. Composition of the Suite and relationship with the terms of sale of each software product
The Suite gives access to the Publisher's four software products:
- Stator-CRM — customer relationship management, in an instance dedicated to the Customer (see the Stator-CRM terms of sale).
- Rotor-FSM — management of field interventions and field maintenance (see the Rotor-FSM terms of sale).
- Vector-MOM — AI-assisted meeting minutes.
- Flux-Link — AI-assisted LinkedIn publishing.
Each software product retains its own terms, accessible from the corresponding application: they govern its operation — description of the service, usage obligations, availability, processing of personal data and data processing agreement (DPA).
These terms of sale govern the bundled subscription: composition of the bundle, term, price, payment terms, commissioning and termination. In the event of any discrepancy on these points, these terms of sale prevail over the specific terms of each software product. This applies in particular to the payment method: Vector-MOM and Flux-Link, when subscribed to individually, are paid by card and may be paid monthly; when subscribed to as part of the Suite, they follow the annual bank-transfer arrangement described in Article 4.
3. Subscription, term and prices
- The subscription is concluded for an initial term of twelve (12) months, and is thereafter tacitly renewed for successive periods of twelve (12) months, unless terminated under the conditions set out in Article 10.
- The applicable price is the price communicated to the Customer at the time of subscription, expressed per active user per year, excl. VAT. The Suite is reserved for businesses; there is no monthly subscription.
- The bundle is indivisible: the price of the Suite covers all four software products and cannot be broken down. A Customer that does not use one of them is not entitled to a reduction, nor may it remove a software product from the bundle during a period. It remains free not to renew the Suite at the renewal date and to subscribe separately to the software products it wishes to keep, under the terms specific to each.
- The number of users is set by the licence associated with the subscription. A single user counts as one, regardless of how many of the Suite's software products they use.
- Any price change is notified to the Customer at least 30 days before it takes effect.
- Additional services — the subscription price does not include: user training sessions (optional), the migration and integration of the Customer's historical databases, the development of specific tools, or any other service outside the standard subscription. These services are performed at the Customer's request and are subject to a separate quote. They are invoiced only after the Customer's express acceptance of the quote, and are then added to the amount of the current subscription without altering its term or conditions.
4. Payment terms
All sums due are payable upon subscription and thereafter on each renewal date — no payment period is granted.
- Annual payment by bank transfer, the only payment method — the year is paid in a single instalment, by bank transfer, against invoice. Annual payment entitles the Customer to a discount of two (2) months: twelve (12) months of access for the price of ten (10) months. The annual period, and its renewal, takes effect upon receipt of payment. Payment by credit or debit card is not offered for the Suite.
- Subscription process — the subscription is formalised by a quote issued in the Customer's name, then, following acceptance or a purchase order from the Customer, by an invoice paid by bank transfer. Access is opened upon receipt of payment.
- Late payment — if payment is not made by the due date, the Publisher informs the Customer; if the situation is not remedied within 8 days, write access to the Suite's software products may be suspended (read-only, without deletion of data) until payment is made.
- Adding users during a period — the Customer may at any time increase the number of users on its licence. Added users give rise to an additional invoice calculated pro rata temporis for the period remaining until the annual renewal date, payable when the users are added; on renewal, invoicing covers all active users.
The licences for the four software products are renewed by the Publisher upon receipt of payment.
In accordance with the regulations applicable under French commercial law, any sum invoiced and remaining unpaid when due shall automatically, and without prior formal notice, give rise to a late-payment indemnity calculated on the basis of three times the French statutory interest rate in force, together with a fixed indemnity for recovery costs of €40. No discount is granted for early payment.
5. Commissioning
As the Suite is a bundle of four separate software products, its commissioning is carried out by the Publisher upon receipt of payment: creation of the Customer's dedicated instance for Stator-CRM and Rotor-FSM, registration of the Customer with Vector-MOM and Flux-Link, installation of the licences and delivery of the access credentials.
The Publisher undertakes to open all access within five (5) working days of receipt of payment, and to inform the Customer accordingly. The annual period runs from the date on which access is opened.
6. Customer's obligations
- Keep its users' login credentials confidential.
- Use the software products in accordance with their intended purpose and with applicable regulations, in particular the GDPR for the data of its own customers, prospects and employees (see the data processing agreement, DPA, accessible from each application).
- Comply with the obligations specific to each software product set out in its specific terms.
- Not exceed the number of users authorised by its licence without first upgrading.
7. Availability and maintenance
The Publisher endeavours to ensure 99% availability for each of the Suite's software products, measured over a rolling twelve (12) month period, excluding scheduled maintenance (notified to the Customer with reasonable notice) and excluding incidents attributable to the hosting provider. Automatic daily backups are performed; in the event of a major incident, the Publisher restores them within a reasonable time.
The unavailability of one of the software products does not entail unavailability of the Suite: the others remain accessible and the subscription continues.
8. Ownership of data
The data entered by the Customer in each of the software products remains its exclusive property. The Customer may at any time request an export of its data (standard formats: CSV, PDF), software product by software product. In the event of termination, see the return and deletion arrangements in Article 10.
9. Liability
The Publisher shall not be held liable for indirect damage (loss of turnover, commercial loss) resulting from the use of or inability to use the Suite's software products, nor for the use the Customer makes of its own login credentials or of the data it chooses to enter or import into them (see Article 6).
With regard to the security of the software products themselves, the Publisher is bound by an obligation of means (best-efforts obligation, “obligation de moyens” under French law): it implements the technical and organisational measures described in the data processing agreements (DPA) and notifies the Customer of any personal data breach within the time limits set out therein.
In all cases, the Publisher's liability, if established, is limited to the amount of the sums paid by the Customer in respect of the last twelve (12) months of subscription to the Suite, all software products combined.
10. Termination
Either party may terminate the subscription by giving one (1) month's notice before the current renewal date. Termination applies to the entire Suite, the bundle being indivisible (Article 3). Upon termination:
- Write access is suspended on all four software products (licences not renewed); the data remains viewable during a 30-day grace period.
- The Customer may request a full export of its data during this period.
- After this period, the data is permanently deleted (databases and backups), unless a legal retention obligation requires otherwise.
A Customer wishing to keep some of the software products subscribes to them separately, under the terms specific to each; its data is then retained without interruption for the software products taken up.
11. Governing law and disputes
These Terms of Use and Sale are governed by French law. Failing an amicable settlement, any dispute shall fall within the jurisdiction of the courts with authority over the Publisher's registered office.
12. Language and contractual documents
These Terms of Use and Sale are drawn up in French. The contractual documents applicable to a subscription to the Suite are, in decreasing order of priority: the accepted quote or the purchase order, these Terms of Use and Sale, then the specific terms of each software product as regards its operation.
The Suite has no application of its own: this page is therefore the reference text, unlike Stator-CRM and Rotor-FSM, for which the copy embedded in the Customer's instance prevails. For any questions, contact@indusiax.com.
